Terms of Service

These Terms are a binding agreement between you and Plezi Nightlife, LLC ("plezi," "we," "us"), governing your use of the plezi consumer app, partner portal, and advertising portal (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who the Service is for

The Service helps people discover nightlife and local venues, lets venue representatives keep venue information current, and lets businesses purchase advertising.

You must be at least 18 to use the Service, and at least the legal drinking age (21 in the U.S.) for features intended to facilitate the purchase or consumption of alcohol. It is your responsibility to comply with all applicable laws.

2. Accounts

The partner and advertising portals require an account; the consumer app does not. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity under your account. We may suspend or terminate accounts that violate these Terms.

3. Venue and event information

Venue details, hours, specials, and events come from venue representatives, our staff, and other sources. We do not guarantee that any information is accurate, complete, or current. Always confirm directly with a venue before relying on listed information. plezi is a discovery tool, not the operator of any venue.

4. Advertising

If you purchase advertising: you are responsible for your ad content and represent that you have the rights to it and that it is lawful and not misleading. We review every ad and may approve, reject, pause, or remove any ad at our discretion; approval is not an endorsement. We do not guarantee any views, clicks, visits, or sales. Payment and refunds are governed by our displayed pricing and Refund Policy.

5. Your content and license

You retain ownership of content you submit (e.g., venue photos, ad creative). You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, and display it to operate, promote, and improve the Service. You are responsible for ensuring you have the rights to grant this license.

6. Acceptable use

You agree not to use the Service unlawfully; submit false, misleading, infringing, or harmful content; attempt unauthorized access; interfere with or disrupt the Service (including scraping or malicious code); misrepresent your identity or authority; or harass, defame, or harm others.

7. Intellectual property

The Service, including its design, software, and branding (excluding user and third-party content), is owned by plezi or its licensors. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose.

8. Third-party services

The Service relies on third-party providers (hosting, payments, authentication, mapping) and may link to third-party sites. We are not responsible for third-party services or content, which may be governed by their own terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. We are not responsible for the conduct of any venue or third party, for the accuracy of venue or event information, or for anything that happens to you at or in connection with a venue. You are responsible for your own decisions, including those involving alcohol, travel, and personal safety.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, plezi WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRIOR TWELVE MONTHS OR $100.

11. Indemnification

You agree to indemnify and hold harmless plezi and its owners, employees, and partners from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access at any time, with or without notice, including for violations. Provisions that by their nature should survive will survive termination.

13. Changes

We may modify the Service or these Terms at any time. For material changes we will update the "Last updated" date and provide notice where appropriate. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Wake County, North Carolina.
